About Psist Digital
Psist Digital (“Psist Digital”, “we”, “us”, “our” or “Agency”) is an independent digital agency/studio based in Bangalore, Karnataka, India.
Psist Digital provides digital design, website development, e-commerce development, landing pages, website redesign, SEO, WhatsApp integration, AI and automation solutions, website maintenance, digital content solutions and other custom digital services.
Psist Digital operates independently and is not a government agency, government department, bank, financial institution, technology manufacturer, telecommunications provider or representative of any third-party company unless expressly stated in writing.
Acceptance of these Terms
These Terms govern the professional services provided by Psist Digital to a client (“Client”, “you” or “your”).
You may accept these Terms by electronically checking the acceptance box, signing an agreement, approving a proposal or quotation, making a project payment, instructing Psist Digital to commence work, or otherwise confirming acceptance in writing.
By proceeding with a project, you acknowledge that you have had a reasonable opportunity to review these Terms.
Project Scope & Custom Services
Psist Digital provides primarily custom, project-specific services. The exact services included in a project are determined by the applicable quotation, proposal, invoice, statement of work or written project agreement.
A project may specify:
- Number and type of pages
- Website functionality
- Design requirements
- Integrations
- Content requirements
- Responsive/mobile requirements
- SEO requirements
- Hosting or domain assistance
- Maintenance requirements
- Delivery expectations
Features or services not expressly included in the agreed scope may be treated as additional work and may require an additional fee.
Quotations & Estimates
Quotes and estimates are based on the information available when they are prepared.
A quotation may be revised if project requirements, functionality, technical complexity or scope materially changes.
Unless expressly included, third-party costs such as hosting, domains, premium software, plugins, APIs, stock assets, payment processing or external subscriptions are not included.
Payment Terms
50% upfront to begin the project and 50% upon completion, unless a different arrangement is agreed in writing.
The initial payment allows Psist Digital to allocate resources and commence work.
The remaining balance becomes payable when the agreed project is substantially completed and ready for final delivery, subject to the applicable project agreement.
Psist Digital may pause delivery, deployment, publishing, transfer of files or launch activities until outstanding amounts have been paid.
Late or Unpaid Payments
If a required payment is not made when due, Psist Digital may suspend work until payment is received.
Delays caused by unpaid invoices may affect the estimated delivery timeline.
If an outstanding balance remains unpaid for an extended period, Psist Digital may terminate or suspend the project subject to the applicable project agreement and applicable law.
Client Responsibilities
The Client agrees to provide accurate and timely information reasonably required to complete the project.

- Logos and brand materials
- Website content
- Images and videos
- Product information
- Pricing and contact details
- Hosting or domain information
- Required account access
- Other agreed project materials
The Client is responsible for ensuring that materials supplied to Psist Digital are accurate, lawful and authorised for use.
Client Content & Rights
The Client represents that it has the necessary rights, permissions or licences to provide content for use in the project.
The Client must not knowingly provide materials that infringe another person's intellectual-property rights or violate applicable law.
Psist Digital may refuse to use content where there is a reasonable concern regarding legality, ownership, security or third-party rights.
Design, Development & Revisions
Psist Digital will use commercially reasonable efforts to create the agreed website or digital product according to the approved scope.
Reasonable revisions may be included depending on the applicable project agreement.
A revision means a modification to an existing approved design or functionality. A complete redesign, new website structure, additional feature or material change of direction may be treated as additional work.
Client Review & Approval
The Client agrees to review project materials and provide reasonably clear feedback.
Delayed feedback, missing content or repeated changes to previously approved requirements may extend the delivery timeline and may result in additional charges where the scope materially changes.
Delivery & Launch
Psist Digital will provide an estimated delivery timeline where reasonably possible.
Estimated timelines are not guaranteed deadlines unless a specific deadline has been expressly agreed in writing.
Delivery may be affected by Client delays, third-party services, hosting, domains, technical dependencies, scope changes, payment delays or circumstances outside Psist Digital's reasonable control.
Intellectual Property & Ownership
Ownership of the final project and deliverables depends on the applicable project agreement.
Payment for a project does not automatically transfer ownership of every underlying component used during development.
Psist Digital may retain rights in pre-existing development frameworks, reusable code, internal tools, libraries, templates, systems, processes, techniques, design systems and other pre-existing materials.
Third-party components remain subject to their own licences and terms.
If a project agreement expressly transfers ownership of specified final deliverables to the Client, that transfer will occur according to the conditions stated in that agreement.
Third-Party Services
Projects may depend on external services such as hosting providers, domain registrars, APIs, payment gateways, plugins, libraries, analytics services, AI platforms, fonts or other software.
Third-party services have their own terms, policies, pricing and technical limitations.
Psist Digital does not control third-party providers and cannot guarantee their continued availability, functionality, pricing, security or policies.
Hosting & Domain Services
Unless expressly stated otherwise, hosting and domain registration are third-party services.
Psist Digital may assist with configuration or connection where included in the project.
The Client remains responsible for third-party hosting, domain, email and subscription renewals unless otherwise agreed in writing.
Search Engine Optimisation
Where SEO is included, Psist Digital may implement reasonable on-page and technical optimisation practices.
SEO services do not guarantee specific search rankings, traffic levels, leads, sales or revenue.
Search engines independently control their algorithms, rankings and policies.
AI & Automation
AI, automation, chatbot and API functionality may depend on third-party technologies.
AI-generated output can contain inaccuracies, omissions or unexpected results.
The Client is responsible for reviewing and approving AI-generated content or automated actions where appropriate.
Third-party AI usage or API charges may apply.
Privacy, Data & Security
Psist Digital may collect information necessary to communicate with Clients and provide services.
Such information may include names, email addresses, telephone numbers, business information, project information and technical information supplied by the Client.
Information will be handled in accordance with applicable law and the Psist Digital Privacy Policy.
No internet-connected system can be guaranteed to be completely secure. Psist Digital cannot guarantee that websites, hosting environments, APIs, plugins or third-party services will never experience a security incident.
Maintenance & Support
Website maintenance is not automatically included unless expressly stated in the project agreement.
Maintenance may include updates, monitoring, security updates, content changes, bug fixes, backups or other agreed services.
New features and substantial changes may require a separate quotation.
Cancellation & Refunds
Either party may request cancellation subject to the applicable project agreement and applicable law.
If a Client cancels after work has commenced, Psist Digital may retain or invoice amounts reasonably corresponding to work completed, committed resources, third-party expenses and other non-recoverable project costs, subject to applicable law.
A refund is not automatically guaranteed merely because a Client changes its mind after work has commenced. Any refund decision will consider the project stage, completed work, costs incurred, agreed terms and applicable law.
Nothing in these Terms is intended to exclude or restrict a right that cannot legally be excluded or restricted.
Termination
Psist Digital may terminate or suspend a project where reasonably necessary due to material breach, persistent non-payment, unlawful instructions, fraudulent activity, abusive conduct, significant security risks or circumstances making continued performance impractical or unlawful.
Where appropriate, reasonable notice will be provided.
Confidential Information
Each party agrees to use reasonable care when handling confidential information received from the other party.
Confidential information may include private business information, credentials, unpublished financial information, technical information, strategies, customer information and other information reasonably understood to be confidential.
Information already publicly available, independently developed, lawfully known before disclosure or required to be disclosed by law is not considered confidential solely because it was shared during a project.
Portfolio & Marketing
Unless otherwise agreed in writing, Psist Digital may display completed public projects as part of its portfolio, website, case studies or marketing materials.
Psist Digital may identify itself as the agency or developer responsible for the work.
If a Client requires confidentiality or does not want its project publicly displayed, that requirement should be agreed in writing.
Warranties & Limitation of Liability
Psist Digital will perform services with reasonable care and professional skill.
Except where expressly guaranteed in writing, Psist Digital does not guarantee particular business outcomes such as increased revenue, traffic, sales, leads, search rankings or conversions.
To the maximum extent permitted by applicable law, Psist Digital will not be responsible for indirect, incidental, special, consequential or unforeseeable losses arising from a project.
Where legally permissible, Psist Digital's aggregate liability arising from a project will be limited to the amount actually paid to Psist Digital for the specific project giving rise to the claim.
Nothing in these Terms excludes liability that cannot legally be excluded under applicable law.
Client Indemnification
To the extent permitted by applicable law, the Client agrees to indemnify Psist Digital against third-party claims arising from Client-provided content, unlawful use of the website, infringement caused by Client materials, inaccurate information, Client business operations, Client products or services, or violations of applicable law or third-party rights.
This does not apply to the extent a claim is caused by Psist Digital's own unlawful conduct, negligence or breach where such liability cannot legally be excluded.
Events Beyond Reasonable Control
Psist Digital will not be responsible for delays or inability to perform caused by circumstances beyond reasonable control.
- Natural disasters
- War or terrorism
- Government action
- Major internet infrastructure failures
- Widespread cyber incidents
- Major technology outages
- Third-party platform failures
- Power failures
- Strikes
- Other events beyond reasonable control
Independent Service Provider
Psist Digital operates as an independent service provider.
Nothing in these Terms creates an employer-employee, partnership, joint venture, franchise or agency relationship between Psist Digital and the Client unless expressly agreed in writing.
The Client does not have authority to represent Psist Digital or make commitments on behalf of Psist Digital.
Electronic Records
Project communications may take place through email, messaging applications, project-management platforms and other agreed electronic channels.
Electronic communications, approvals and acceptance records may be retained as evidence of project instructions and agreement, subject to applicable law.
Governing Law & Disputes
These Terms are governed by the laws applicable in India.
Subject to mandatory legal rights available to the Client, disputes will be subject to the jurisdiction of the appropriate courts and legal authorities having jurisdiction in Bangalore, Karnataka, India.
If a dispute arises, the parties should first attempt to resolve the matter through good-faith communication.
Where appropriate, the parties may mutually agree to mediation or another alternative dispute-resolution process before commencing formal proceedings.
General Legal Provisions
These Terms, together with the applicable quotation, proposal, invoice, statement of work and project agreement, constitute the agreement relating to the applicable project.
If there is a conflict, the more specific project agreement or written scope will generally control for that project.
If any provision is found invalid or unenforceable, the remaining provisions will continue to apply to the extent permitted by law.
A failure to enforce a provision immediately does not constitute a permanent waiver of that provision.
Changes to these Terms
Psist Digital may update these Terms from time to time. Updated versions will be published on this website with a revised “Last Updated” date.
For an existing project, the version applicable to the contractual relationship may depend on the date and terms of the applicable project agreement.
